KHÄT Compensated Ambassador Terms and Conditions

  1. Brand Representation

    As a compensated ambassador, you agree to represent KHÄT professionally and consistently, ensuring that all content and promotions reflect our brand values of wellness, empowerment, and healthier living. Your representation of KHÄT should always be positive and aligned with the brand’s messaging.

  2. Content Creation & Promotion

    Ambassadors will create authentic content including photos, videos, and written testimonials featuring KHÄT products. Content must be in line with KHÄT’s established branding guidelines. Ambassadors will receive compensation based on the agreed-upon deliverables (e.g., social posts, blog features, or video content) that have been pre-approved by the marketing department.

  3. Social Media Engagement

    Ambassadors are expected to actively engage with their followers about KHÄT products. This includes responding to inquiries, sharing personal experiences, and promoting the brand on designated social media platforms. Ambassadors will be provided with unique promo codes, hashtags, and links, which must be used in posts and promotions.

  4. Compensation

    Ambassadors will receive compensation in the form of financial payment, product perks, or exclusive access to KHÄT offerings, as agreed upon by both parties. Compensation terms, including payment rates, will be outlined in the ambassador agreement before participation begins.

  5. Exclusivity & Non-Competing Brands

    During the term of the ambassadorship, ambassadors agree not to promote or endorse products from direct competitors. Any paid collaboration with competing brands must be disclosed to and approved by KHÄT prior to proceeding.

  6. Performance Metrics

    Ambassadors will be required to track and report key performance metrics, such as engagement rates, sales driven through promo codes, and any content analytics. These reports will help the marketing department assess the effectiveness of the ambassador’s efforts and determine ongoing compensation.

  7. Timely Content Submission

    Ambassadors must adhere to the deadlines established for content submission, promotional campaigns, and agreed-upon deliverables. Late submissions may affect compensation or the continuation of the ambassadorship.

  8. Compliance with Advertising Guidelines

    Ambassadors are expected to comply with all relevant advertising regulations, including the Federal Trade Commission (FTC) guidelines. All paid promotions must clearly disclose the paid partnership with KHÄT and include appropriate hashtags or disclaimers.

  9. Confidentiality & Non-Disclosure

    Ambassadors agree to keep all proprietary information, including new product details, marketing strategies, and future campaigns, confidential. They may not share any confidential information about KHÄT before it is publicly released.

  10. Termination of Agreement

    KHÄT reserves the right to terminate the ambassador agreement at any time for failure to meet expectations, breach of terms, or engagement in behavior detrimental to the brand. Ambassadors may terminate their agreement with notice, in accordance with the terms of the contract.

  11. Indemnification and Liability

    Ambassadors agree to indemnify KHÄT against any claims, losses, or damages arising from their actions while promoting KHÄT products. This includes any legal claims stemming from content shared, endorsements made, or violations of laws and regulations.

  12. Modification of Terms

    KHÄT reserves the right to amend these terms at any time. Any changes will be communicated to ambassadors, and continued participation in the program will signify acceptance of the updated terms.

KHÄT Military & First Responder Discount – Terms and Conditions

1. Eligibility
The KHÄT military and first responder discount is available to active-duty military personnel, veterans, retired service members, and first responders. This discount is also available to their immediate family members, including spouses and dependents, where applicable.

2. Verification Process
To claim the discount, individuals must verify their eligibility through GovX, a third-party service used for military and first responder verification. Alternatively, individuals may upload a valid military or service ID for manual verification. KHÄT reserves the right to request additional documentation if necessary.

3. Discount Details
Eligible individuals will receive a 15% discount on all online orders. The discount is automatically applied after successful verification. The discount cannot be combined with other promotions, offers, or discount codes.

4. Usage
The military and first responder discount is non-transferable and is valid only for the verified individual’s personal use. The discount cannot be resold or shared with others.

5. Limitations
The discount is valid only on regularly priced items and may not apply to certain clearance, sale, or promotional items as specified at checkout. KHÄT reserves the right to modify or exclude certain products from the discount offer.

6. No Cash Value
This discount holds no cash value and cannot be redeemed for cash, credit, or exchanged for other forms of payment.

7. Validity Period
The military and first responder discount is available as long as the individual maintains their eligibility. KHÄT reserves the right to modify or discontinue the discount at any time, with or without prior notice.

8. Proof of Service

KHÄT Approved Distributor, Basic Terms and Conditions

By becoming an approved distributor of KHÄT products, you agree to adhere to the following terms and conditions. 1. Distributor Eligibility

2. Product Availability and Pricing

3. Order Fulfillment

KHÄT reserves the right to refuse or limit orders at its discretion, especially in cases of suspected fraud or non-compliance with these terms.

4. Payment Terms
Approved distributors are required to pay for products in accordance with the payment terms outlined by KHÄT. Payments must be made promptly and may be subject to late fees for overdue balances. KHÄT reserves the right to suspend or terminate orders or accounts in the event of non-payment.

5. Marketing and Branding
Distributors are granted permission to market and sell KHÄT products within the scope of these terms. However, distributors must adhere to the KHÄT branding guidelines provided, ensuring consistent representation of the brand. Any use of KHÄT’s logos, trademarks, or promotional materials must be pre-approved by KHÄT.

6. Product Distribution
KHÄT products are only to be sold within the agreed-upon territories and to eligible customers. Distributors may not sell KHÄT products to unauthorized resellers or third parties without prior approval from KHÄT. Distribution outside of the agreed-upon channels may result in the termination of the distributor agreement.

7. Confidentiality
Distributors are required to maintain the confidentiality of any proprietary information received from KHÄT, including but not limited to pricing, marketing strategies, and customer data. This confidentiality obligation extends beyond the termination of the distributor relationship.

8. Compliance
Distributors must comply with all applicable laws, regulations, and industry standards, including those governing the sale of consumable products. Distributors are responsible for ensuring that products are handled, stored, and distributed in compliance with safety and quality standards.

9. Termination
KHÄT reserves the right to terminate the distributor agreement at any time with or without cause. Grounds for termination may include, but are not limited to, failure to comply with the terms of this agreement, non-payment, or violation of KHÄT’s branding guidelines.

10. Limitation of Liability
KHÄT is not responsible for any indirect, special, or consequential damages arising from the use or resale of its products. The distributor agrees to indemnify and hold KHÄT harmless from any claims, losses, or damages resulting from the distributor’s breach of these terms or other wrongful acts.

11. Amendments
KHÄT reserves the right to modify or amend these terms and conditions at any time. Distributors will be notified of any changes, and continued participation in the distribution program will be considered acceptance of the updated terms.

KHÄT Wholesaler Basic Terms and Conditions

By becoming an eligible wholesaler for KHÄT products, you agree to the following terms and conditions. These guidelines ensure a smooth, successful partnership between KHÄT and its wholesale distributors, maintaining the integrity and reputation of the KHÄT brand.

1. Wholesaler Eligibility
To be eligible as a wholesaler, businesses must complete a formal application, meet KHÄT’s criteria for product distribution, and be approved by KHÄT. Approved wholesalers must have a valid retail or online presence and adhere to all local, state, and federal laws.

2. Ordering and Product Availability
Wholesalers will receive access to a catalog of KHÄT products and current pricing, subject to change at KHÄT’s discretion. All orders must be placed through the authorized wholesaler channels. KHÄT reserves the right to limit or cancel orders based on product availability, payment history, or other factors deemed necessary.

3. Pricing and Discounts
KHÄT provides wholesalers with a pricing list that includes standard wholesale pricing and any applicable discounts. Wholesale prices are set by KHÄT and may be adjusted periodically. All wholesalers are required to maintain adherence to the Minimum Advertised Price (MAP) set by KHÄT and are prohibited from advertising products at a lower price than the MAP.

4. Payment Terms
Wholesalers must adhere to the payment terms set by KHÄT, which will be specified upon approval. Payments are due in full as per the agreed schedule and may be subject to late fees or interest if not paid on time. KHÄT reserves the right to suspend orders or terminate accounts due to non-payment.

5. Sales Territory
Wholesalers are authorized to sell KHÄT products only within the specified territory or region agreed upon. The products may not be sold to unauthorized third-party resellers, including but not limited to, online marketplaces such as Amazon, eBay, etc. Any deviation from the agreed territory or unauthorized reselling may result in termination of the wholesale relationship.

6. Branding and Marketing
Wholesalers are granted a non-exclusive, non-transferable license to use KHÄT’s branding and trademarks for marketing purposes, subject to the use of approved logos, images, and promotional material provided by KHÄT. All marketing materials must be pre-approved by KHÄT to ensure consistency and adherence to the brand’s image and message.

7. Product Handling and Storage
Wholesalers must ensure that KHÄT products are stored and handled in compliance with all health and safety regulations. Products should be kept in their original packaging and not be altered in any way. Products should be stored in a clean, dry, and safe environment to maintain their quality and integrity.

8. Regular Stock Monitoring and Replenishment
Wholesalers are responsible for maintaining adequate stock levels of KHÄT products. Regular inventory checks and timely reordering are expected to avoid product shortages. KHÄT reserves the right to monitor stock levels and may request updates to ensure product availability in the market.

9. Return Policy
Returns or exchanges of products are allowed only for defective or damaged goods upon approval from KHÄT. Any returns must be requested within 30 days of receipt. All returned products must be in their original, unopened packaging.

10. Compliance with Laws and Regulations
Wholesalers must comply with all applicable local, state, and federal laws regarding the sale and distribution of products, including but not limited to, product safety, labeling, and marketing regulations. Wholesalers are responsible for ensuring that they meet any specific regulations for their location and market.

11. Confidentiality
Wholesalers agree to maintain the confidentiality of all proprietary information provided by KHÄT, including but not limited to, pricing, marketing strategies, sales data, and customer information. This obligation continues after the termination of the wholesaler relationship.

12. Termination of Agreement
KHÄT reserves the right to terminate the wholesaler agreement at any time, with or without cause. Reasons for termination may include, but are not limited to, non-compliance with these terms, failure to meet payment obligations, or violation of KHÄT’s MAP policy. Upon termination, the wholesaler must immediately cease using KHÄT's trademarks and marketing materials.

13. Limitation of Liability
KHÄT shall not be held liable for any indirect, incidental, or consequential damages arising from the sale or use of its products. The wholesaler agrees to indemnify and hold KHÄT harmless from any claims, losses, or damages resulting from the wholesaler’s violation of these terms or any unlawful acts.

KHÄT reserves the right to modify these terms and conditions at any time. Wholesalers will be notified of any changes, and continued participation in the wholesale program will be considered acceptance of the updated terms.

KHÄT Sponsorship Application Conditions and Expectations

  1. Eligibility
    Applicants must be a business, organization, or individual whose mission and values align with KHÄT’s commitment to wellness, healthier living, and empowerment. Sponsorship applications are open to entities that share a positive and professional image in their respective industries.

  2. Complete Application
    All applicants must submit a complete sponsorship application, including all required fields, contact information, and relevant details regarding the event, project, or cause they are seeking sponsorship for. Incomplete applications may not be considered.

  3. Clear and Transparent Information
    Applicants must provide clear, honest, and detailed information about the sponsorship opportunity, including expected outcomes, target audience, and specific benefits of the partnership for KHÄT. Any material misrepresentation or withholding of information may result in disqualification.

  4. Sponsorship Alignment
    Sponsorship applications should demonstrate how the partnership will promote KHÄT’s brand values—wellness, empowerment, and healthier living. KHÄT seeks to support organizations and causes that are in line with our mission and resonate with our target audience.

  5. Marketing and Branding
    Applicants agree to adhere to KHÄT’s brand guidelines when using KHÄT’s logo, products, or promotional materials as part of the sponsorship. All co-branded content or campaigns must be pre-approved by KHÄT’s marketing department to ensure consistency with the brand’s messaging.

  6. Mutual Benefit
    KHÄT seeks to enter into sponsorships that offer mutual benefits. Applicants should clearly define the value both parties will receive from the partnership, whether through brand exposure, product placement, cross-promotion, or other means.

  7. Follow-Up Communication
    After submission, applicants should be prepared to engage in follow-up communication to discuss the details of the sponsorship. This may include additional meetings, proposal reviews, and negotiations before the sponsorship is finalized.

  8. Timeliness and Deadlines
    Applications must be submitted within the specified deadlines for consideration. Timely responses and clear communication during the application process are essential to moving forward with sponsorship opportunities.

  9. Financial Transparency
    Applicants must provide a breakdown of how the sponsorship funds or products will be utilized. Transparency in budgeting and how the sponsorship will be applied is required for review and approval.

  10. Compliance with Laws and Regulations

  11. Decision Process

    Sponsorship recipients may be required to provide performance metrics and reports on the success of the sponsorship. This includes data such as audience reach, engagement, sales impact, or other key performance indicators (KPIs). KHÄT may request periodic updates to assess the effectiveness of the partnership.

  13. No Guarantee of Sponsorship
    Submission of a sponsorship application does not guarantee approval. KHÄT evaluates sponsorships based on alignment with brand goals, available resources, and current sponsorship priorities.

  14. Program Changes
    KHÄT reserves the right to amend the sponsorship terms, conditions, and benefits at any time. Any changes will be communicated with applicants and partners, and continued participation will signify acceptance of the new terms.

KHÄT Hold Harmless Agreement and Legal Terms

By purchasing products from KHÄT, you (the "Customer") agree to the following terms and conditions. These terms serve as a Hold Harmless Agreement and outline the responsibilities of both the Customer and KHÄT with respect to the use of nicotine products.

  1. Assumption of Risk
    Nicotine is a highly addictive substance that poses health risks, including but not limited to addiction, increased heart rate, and other potential adverse health effects. By purchasing products containing nicotine from KHÄT, you acknowledge that you are aware of the risks associated with nicotine use and voluntarily accept these risks. You further acknowledge that you are purchasing these products at your own risk.

  2. Age and Eligibility
    You confirm that you are of legal age to purchase nicotine products in your jurisdiction. KHÄT will not be held responsible for any issues arising from the sale of nicotine products to individuals under the legal age. It is your responsibility to comply with all applicable age restrictions and laws regarding the purchase, possession, and use of nicotine products.

  9. Indemnification
    By purchasing from KHÄT, you agree to indemnify and hold harmless KHÄT and its affiliates against any and all claims, losses, or damages resulting from the Customer’s actions or use of nicotine products. This includes any legal action, fines, or penalties arising from the Customer’s misuse or non-compliance with applicable laws.
